No. 2-23-320, HMT Hills, Kukatpally, Hyderabad, Telangana, 500085 is an Omni-channel Commerce solution for Small & Medium Business enterprises.

Verce Solutions provides the next generation commerce solutions like Conversational Commerce, Unified Retail & Payments Solutions. We provide easy-to-use, omnichannel commerce solutions that give our customers the critical functionality they need to connect with their customers, create bills, manage their phygital operations, accept payments to grow their business.

The platform is operated through a Mobile Application and seeks to home deliver items by the Merchant themselves or by independent third-party logistics service providers appointed by the Merchant / seller. Verce Solutions merely acts as a technology and online platform which allows the Merchant to connect with the customer. Verce Solutions are merely a facilitating service provider for the Merchant to the consumer. Every Merchant / seller will be provided a Mobile Application through which they can manage & run their online store.

The website https://glokal.live (Website) and mobile application ‘Glokal’ (App) (Website and App collectively referred to as the “Platform”) is operated and managed by the Company.

These terms and conditions (“Terms of Use”) are an agreement between us and you (“User/you/your“). This Agreement sets forth the general terms and conditions of your use of the Website or the Mobile App and any of its information, products or services (collectively, “Services“). Your access to the Website/ Mobile App and use of the Services is conditional on your acceptance of and compliance with these Terms of Use as well as the Privacy Policy. These Terms of Use shall apply to all visitors, Users and others who access the Website/ Mobile App or use the Services. By accessing or using the Services you agree to be bound by these Terms of Use.

You must read, agree with and accept all of the terms and conditions contained or expressly referenced in these Terms of Service, including Verce’s Privacy Policy, Shipping Policy, Cancellation & Return Policy before you may sign up for a Verce Account or use any of the Verce’s services.

Any such service or services offered by Verce are referred to in these Terms of Services as the “Service(s)”. Any new features or tools which are added to the current services will also be subject to the Terms of Service. These terms of use ("Terms of Use") mandate the terms on which users or visitors (the “Users”) access the platform, solutions owned and operated by Verce Solutions. Users are requested to carefully read the Terms of Use before using the Platform or registering on the Platform or accessing any material or information through the Platform.

The installation and use by the Merchant / seller of the Verce Solutions’ platform is bound by the certain terms and conditions which are listed below. The said terms & conditions mentioned below is a legally binding and enforceable contract between Verce Solutions and the Seller / Merchant. You (Seller / Merchant) agree that by availing the services through website / platform and by enrolling in the services offered by Verce Solutions, you are voluntarily accepting to be bound by the below terms and conditions. The website / platform is originally created by or on behalf of Verce Solutions and is owned and operated by Verce Solutions. The said platform acts as facilitation between the end consumers and the Seller / Merchant. In a few cases the Application may also facilitate connection between the Merchant / Seller, consumer and a third party delivery agent appointed for picking up goods and delivering the same to the consumer. Verce Solutions is merely a website / platform that facilitates sale of goods and is a connecting factor between the Merchant and consumer. The Merchant is aware and agrees that services of Verce Solutions are only to connect the Merchant and consumer and to operate the website and all other related platforms.The Merchant acknowledges that the delivery agent is not employed by Verce Solutions and any deficiency as such is not attributable to Verce Solutions. Please read the below terms & conditions before enrolling in the services offered by Verce Solutions. As remarked above, availing of services offered by Verce Solutions is voluntary and shall be deemed as acceptance of the terms and conditions mentioned herein.

Verce Solutions reserves and is entitled to change or modify these Terms & Conditions / Privacy Policy or any other policy or guideline of the Website / platform at any time and in its sole discretion. Any change in these Terms & Conditions / Privacy Policy or any other policy or guideline will be effective immediately upon posting the revisions on the Website. The continued use of the Website / platform will confirm your acceptance of such changes or modifications.

The below mentioned Terms and Conditions are in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011.

Services

Verce Solutions is a facilitating platform between you i.e. Seller / Merchant and the end Consumer. You are hereby allowed to list your products in the platform / website along with the price. Consumers can choose the listed products and place orders, as required. You are not allowed to misuse our services in any manner.

You hereby agree that the platform / website owned by Verce Solutions is only a facilitating platform between you and the Consumers. As such Verce Solutions will not entertain any dispute between you and the Consumer. You agree that in case of any dispute or transaction related settlements, you would have to contact the concerned Consumer.

Our services have to be used legally and as permitted by law. We have the right to suspend or completely stop providing our services if you do not comply with our terms or policies.

You agree to list / sell only bonafide goods. No counterfeit goods shall be sold through the platform / website. You undertake to provide quality products that comply with various laws, rules and regulations that are in force from time to time. You are liable to be suspended / terminated / blocked access to the platform/ website in case failure to maintain quality standards. The contents, listings or any information provided in the platform may be changed at any time by Verce Solutions without notice by updating the terms and conditions. You agree to review the Terms and conditions regularly and your continued access or use of the platform/ website will mean that you agree to and abide by the updated Terms & Conditions.

Registration Process

The merchant would be able to list / sell products only upon registration by providing correct verification details. You undertake to provide with accurate information such as name, registered business name, address & phone number, picture of shop/establishment and any government issued registration details of the shop/establishment. In case the shop is a pharmacy, all specific rules and regulations with respect to sale of medicines / pharmaceutical products must be strictly adhered to. You agree that Verce Solutions will not be liable for any incorrect information provided by you. You undertake to notify and inform Verce Solutions of any change in the information provided by you. You acknowledge that Verce Solutions has not verified the information provided by you and as such you are solely responsible for any such misrepresentation. You also undertake and agree that Verce Solutions shall not be liable in any manner for the illegality or misrepresentation of any information that has been provided by you. If in future at any time Verce Solutions finds that the information / document provided by you is inaccurate or fabricated, Verce Solutions has the right to terminate the arrangement immediately without any prior information / notice.

You agree that this relationship with Verce Solutions is non – exclusive. Identical or similar type of services may be provided to any seller / merchant / third party in the same locality. Verce Solutions has the right to terminate you or restrict access to the website / mobile application or suspend you at any time without according any reasons for doing so.

A merchant / seller is not entitled to take more than a single account for a single store. Any merchant / seller who are found to have more than one account per store shall be terminated immediately. A merchant / seller shall not transfer or sell his existing account to anyone. Misuse of the account or account information will lead to termination of the account. In case the merchant / seller owns multiple stores corresponding number of accounts can be created with the permission of Verce Solutions.

Representation by the Merchant

To access the services provided by Verce Solutions, you must create an Account by completing the registration process.

By registering to avail the services you represent that:

(a) you are a major and that if you are registering on behalf of a person or entity, you are authorized to register for the Service.

(b) The information which is provided by you is true and that you have not misrepresented any information.

You expressly agree and undertake that Verce Solutions at any time can suspend or terminate your account and refuse any and all current or further use of the Application / Platform and all it’s services if it is determined or have reason to believe that any information provided by you is untrue or inaccurate. Please note that it is your responsibility to keep your user name and password safe. Verce Solutions shall not be responsible for unauthorized access to or alteration of your data. Your username and password are personal to you and under no circumstances may you allow any other person to use your username and/or password. Verce Solutions shall not be liable for any harm caused or related to the theft or misappropriation of your personal as well as business details, including username and/or password, disclosure of your username and/or password, or your authorization of anyone else to use your username and/or password.

The Merchant / seller are responsible for all the legal information provided for the registration of their shop/Shops on Verce Solutions.

Verce Solutions is not liable for obtaining registration under the provisions of the Central Goods and Service Act, 2017 and it is the duty of the Merchant. The Merchant undertakes and agrees that as soon as they become liable to obtain GST registration as per the provisions of the Law, the Merchant shall get themselves registered with the Goods and Service Tax department and intimate their GST to the Verce Solutions platform.

Once the product is ordered by the end consumer through the platform, information is given to the Merchant / Seller. Once the order is confirmed the seller is required to neatly pack the ordered products and wait for the delivery partner appointed by the Merchant / seller to pick up the products and deliver the same to the consumer. The seller agrees that the Pick Up and Drop Off Services are arranged and provided by the Merchant / seller and Verce Solutions does not have any liability over the same. The seller / merchant agrees that Verce Solutions will not assume any responsibility or liability for any form of act, omission to act, services provided, quality or deficiency of services regarding sale and delivery of the products.

Responsibilities of the Merchant

The Platform allows Sellers to connect with customers and process orders directly from your store. It is the responsibility of the seller to pack and keep the items ready and to deliver the product to the consumer. The seller / Merchant agrees and undertakes that only bonafide / genuine goods will be sold through the platform.

In case of sale of pharmaceutical products, the merchants shall sell such products only with a valid prescription from a registered medical practitioner. Sale shall not be conducted or products delivered without a valid prescription. It is the duty of the merchant / seller to verify that the end consumer holds a valid prescription.

The merchant / seller shall at all times ensure full compliance with the applicable provisions of the laws in India including but not limited to ​Drugs and Cosmetics Act; Ayush; Information Technology Act; Legal Metrology Act; FSSAI, the Drugs and Magic Remedies (Objectionable Advertisements) Act and other prevailing laws which relate to sale of goods and more specifically sale of pharmaceutical & medicinal products.

The seller / Merchant will provide accurate and complete Information for each product that is being sold through the Verce Solutions Application / website. If there is any change regarding the price or quality or any other change, the seller / Merchant is liable to update that information as necessary to ensure it at all times remains accurate and complete. The seller / Merchant is solely responsible for any quality / quantity issues, delivery issues or any other mistake or act in connection with the delivery of the product to the consumer.

The Seller / Merchant confirms that while listing the inventory of the Product, the Seller has physical possession and owns such quantity of product as listed on the platform and further undertakes to fulfill the orders placed by the end consumer. In the event of delay in shipment/delivery of Product or seller cancellation of orders due to non-availability of Product, the seller has to contact the consumer and refund the amount to the consumers. Verce Solutions does not hold any responsibility or liability towards cancellations. Please refer to cancellation and refund policy for more details.

Verce Solutions facilitates the collection of payments for the transaction/(s) between Seller and Customer and makes payouts as mutually agreed between Verce Solutions & the merchant on the registered and verified bank account of the Merchant.

The Seller / Merchant is also responsible for updating the products on their store from time to time and add out of stock items. The seller shall make frequent updates and make sure the items listed for sale are available. The Seller / Merchant shall maintain clear records of all the Products purchased by the Buyers through the Platform, all returns, refunds, etc as may be required for audit and regulatory purposes and for the Verce Solutions Customer service purposes.

The seller / Merchant also agree to share his shop location at all times to Verce Solutions. The seller / merchant hereby consent to sharing his / their location and also to monitor and track of their location.

You undertake not to use Platform or any material for any purpose other than what is specifically mentioned herein. You further undertake not to commit anything that is unlawful, illegal or prohibited or other activity which infringes the rights / Intellectual Property Right of Verce Solutions or other third parties.

No Endorsement

We do not endorse any Merchant. In addition, although these Terms of Use require you to provide accurate information, we do not attempt to confirm, and do not confirm if it is purported identity. We will not be responsible for any damage or harm resulting from such interactions.By using the Services, you agree that any legal remedy or liability that you seek to obtain for actions or omissions of other Members or other third parties will be limited to a claim against the particular Members or other third parties who caused you harm and you agree not to attempt to impose liability on, or seek any legal remedy from us with respect to such actions or omissions.

Confidentiality and Customer Personal Data

When the consumer orders any products you will be notified of the details of the consumers not limited to name, address and phone number. You agree that consumer information or any other information relating to use of the services may contain confidential and personal information. You agree and undertake that all the Confidential or personal Information will remain the sole property of Verce Solutions and that you will use such Information for the purpose of sale of products to the consumer. You agree and undertake not to store or disclose the Confidential Information received by you to any other Person except as required to comply with the Law. As a matter of principle you are prohibited from using Confidential or personal Information or any other data in any way inconsistent with applicable Law. You must keep customer personal data confidential at all times even after the termination of the relationship / agreement. This clause is not applicable to the consumers data which has already been with the Merchant / Seller prior to the agreement with Verce Solutions.

Delivery of Products

You should deliver the product sold by you through the platform as per the date/time mentioned by you. You shall maintain the quality of the products sold through the website / platform. You agree to indemnify Verce Solutions for over-pricing, delay in delivery of the product(s) or non-delivery of the product(s). Verce Solutions does not have any liability over the quality of the product(s). Any dispute concerning the price, delivery, quantity or quality or any other subject matter regarding the sale of the product(s) shall be dealt directly with the Consumer. Verce Solutions shall not entertain any dispute regarding the same. Please refer to the Shipping Policy for more details.

Intellectual Property

Please note that using our Services does not give you ownership of any intellectual property rights in our Services or the contents you access. You may not use content or any other information from the website / platform. These terms do not grant you the right to use any branding or logos used in our Services. You are not permitted to remove, obscure, or alter any contents / information displayed in or along with our Services. The Contents of the Application and all other intellectual properties used in the Application are owned by Verce Solutions. The trademarks and all other intellectual properties apart from the products mentioned by you belong to Verce Solutions. By allowing access to you or any third party does not convey any ownership rights of the Application. You shall not copy, modify, translate, distribute, reproduce or reverse engineer any content of the Application.

Indemnification

You agree to defend, indemnify and hold harmless Verce Solutions and any of their respective officers, Executives, directors, employees, agents and representatives from any and all claims arising out of your breach of any of these terms and conditions. The indemnification obligation under these Terms & Conditions will survive the termination of your account or use of the Platform. You agree not to copy, modify, reverse engineer, decompile, disassemble, create derivative works of the Software nor attempt to locate or obtain its source code.

You further agree not to post any lewd, defamatory or illegal content. Posting or committing any illegal act would be punishable under the respective laws of the state and country.

You agree that at certain times technology Platforms are susceptible for glitches and issues and hence, as a result if any transaction/trade order / payment doesn’t get processed, as expected, Verce Solutions cannot be held responsible. The Merchant / seller also agrees to indemnify Verce Solutions against loss of any business due to technical or third party partner issues.

Relationship

Subject to the Terms and Conditions mentioned herein along with privacy policies and all other related documents, the relationship of Verce Solutions with you is only an independent contractor. You agree and undertake that nothing in this Terms and Conditions or any other related Agreement will create any joint venture, partnership, principal – agent relationship, franchise, sales representative, or employment relationship between Verce Solutions and you. You agree and undertake that you will have no authority to make or accept any offers or representations on our behalf. Nothing expressed or mentioned in or implied in Terms and Conditions or any other related Agreement is intended or will be construed to give to any person other than the parties to this Agreement any legal or equitable right, remedy, or claim under or in respect to this Agreement.

Damages

You agree that any infringement or any violation of these Terms and Conditions will cause irreparable loss and damage to Verce Solutions and as such will constitute an unlawful and unfair business practice for which damages in monetary form would be inadequate. As a result you agree and undertake and provide rights to Verce Solutions to obtain any injunctive or equitable relief that they deem necessary or appropriate in such circumstances. These remedies are in addition to any other remedies that Verce Solutions may have at law or in equity. If any legal action against you as a result of your violation of these Terms and Conditions, Verce Solutions is entitled to recover from you and in addition you would be liable to pay all reasonable attorneys’ fees and costs of such action, in addition to any other relief that may be granted.

Termination

These Terms and conditions will commence on the date when you register on the platform of Verce Solutions. The same shall continue to subsist until the termination of this agreement by both the parties. These Terms and conditions will apply until terminated by either of the parties. In case you wish to terminate this arrangement subject to the clearance of all payment obligations is to give a 30 days’ notice in writing that you wish to terminate this arrangement. You agree and undertake that even after the termination of this agreement your rights and responsibilities including payment terms / outstanding amounts / duty to protect the confidential information / personal information will remain in force and the terms agreed by you at the time of registration of your account will remain in effect.

Verce Solutions may choose to terminate your account for convenience by providing you with a 30 days notice. All the liabilities / responsibilities as mentioned in the above clause will remain in force. Further, on termination of your account you hereby agree, undertake and acknowledge that Verce Solutions shall have the right to store and retain all information pertaining to the transactions that has been made on the Platform.

You agree that on termination of the account if dues are not paid or any other duty is pending, Verce Solutions has the legal right to enforce and you are liable for damages.

Amendments

You agree that Verce Solutions can at any time have the right to modify or amend these Terms and conditions without any requirement to notify you of the same. The last updated ‘terms and conditions’ shall always be updated in the website/mobile application along with the last updated date. You shall be responsible to check if there is any update to the said Terms and Conditions. Your acceptance of the amended Terms and Conditions shall signify your consent to such changes and agreement to be legally bound by the same.

Severability

If it turns out that a particular term is not enforceable, this will not affect any other terms.

Notices

Notices or letters or any communication shall be sent to your registered email id / postal address on the platform. Sending of an email to the correct email address shall have the same effect and rights as a physical notice. It shall be your responsibility to check emails.

Force Majeure

Failure to do any act or duty shall not constitute default hereunder if and to the extent caused by force majeure, which is defined to be occurrences beyond the reasonable control of such party committing default, including and limited to acts of the government authorities, acts of God, fire, flood, explosion, riots, war, labour strikes, sabotage, rebellion, insurrection, epidemic, pandemics or similar outbreak. However, the seller has to immediately notify such reason to Verce Solutions at the earliest. Failure to notify of the same would result in suspension / termination or any other action as deemed fit.

Remedies

The seller /Merchant agrees and acknowledge that damages in the form of monetary compensation may be an inadequate remedy for breach or threatened breach of the provisions of these Terms and Conditions and as a result seller /Merchant agrees that in the event of a breach of any provisions of these Terms and Conditions by the seller /Merchant, the rights of Verce Solutions in addition to any and all other rights and remedies that may be available to Verce Solutions in respect of such breach, shall be enforceable by specific performance, injunctive remedy or any other remedy available in any court of competent jurisdiction.

Jurisdiction

Any dispute arising out of these terms & conditions shall be exclusively filed at the Court at Hyderabad, Telangana, India.

Applicable Law

The Applicable Law in relation to any dispute arising will be the Law of India.

Arbitration

In the event of any dispute between the parties arising out of or in relation to this terms and conditions, the same shall be referred to an Independent Arbitrator which has the exclusive jurisdiction to resolve the dispute. The arbitration will be governed by laws of India at the time being in force. The arbitration proceedings shall be constructed in English language and shall take place in the city of Hyderabad.
